Engagement of services

Our consultancy services are provided under a separate written agreement or letter of engagement issued to each client. These Terms and Conditions apply alongside that agreement and, in the event of any conflict, the specific terms of the written agreement will take precedence. No contract for the provision of services is formed until Svenergy has issued a written confirmation of engagement and, where applicable, received a signed agreement from the client.

Our obligations

Svenergy will: • Provide services with reasonable skill and care, in accordance with good industry practice. • Act in your best interests and maintain independence from energy suppliers and brokers. • Keep your confidential information secure and not disclose it to third parties without your consent, except where required by law. • Communicate clearly and promptly on all material matters relating to your engagement.

Client obligations

To enable us to deliver our services effectively, you agree to: • Provide accurate, complete, and timely information as reasonably requested. • Grant us authority to act on your behalf where required (for example, in energy procurement negotiations), as set out in your letter of engagement. • Notify us promptly of any changes to your circumstances that may affect the services. • Pay any agreed fees in accordance with the payment terms set out in your engagement agreement.

Fees and payment

Our fees are set out in your individual letter of engagement or service agreement. Unless otherwise agreed in writing: • Invoices are payable within 30 days of the invoice date. • We reserve the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. • All fees are exclusive of VAT, which will be charged at the applicable rate where required.

Limitation of liability

To the fullest extent permitted by law: • Svenergy's total liability to you in connection with any engagement shall not exceed the total fees paid by you to Svenergy in the twelve months preceding the claim. • We shall not be liable for any indirect, consequential, or special loss, including loss of profit, loss of business, or loss of anticipated savings, even if we were advised of the possibility of such loss. • We do not exclude or limit liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law. Energy market conditions, supplier pricing, and regulatory changes are outside our control. We cannot guarantee specific savings or outcomes, though we will always act in your best interests.

Confidentiality

Both parties agree to keep confidential any information disclosed in connection with the engagement that is identified as confidential or that a reasonable person would consider confidential. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law or regulation.

Termination

Either party may terminate an engagement by giving written notice as specified in the relevant service agreement. On termination: • You remain liable for fees for work completed up to the date of termination. • Each party will promptly return or destroy the other's confidential information on request. • Clauses that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will continue to apply.

Our website may contain links to third-party websites for your convenience. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

Governing law

These Terms and Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these Terms and Conditions from time to time. The date at the top of this page shows when they were last revised. Continued use of our website or services after any changes constitutes acceptance of the updated terms.
